【摘要】随着我国农村商品经济的发展，家庭联产承包责任制下的小农经济越来越难以适应市场经济发展的要求。积极推动农民专业合作社及集体经济的发展，是调整优化农村所有制结构、构建社会主义农村基本经济制度和实现农业现代化的战略性选择。农民科技综合服务合作社是在继承了农民专业合作社集体经济发展优势的基础上，结合科研机构的技术力量，和企业的生产能力，以便更好的为农业发展、农民增产增收服务。

　　本文的首先农民专业合作社的相关影响因素进行分析：解读相关法律法规，讨论农民专业合作社不同生命周期中政府职能的转换；分析农民专业合作社核心(农民、科研机构、中介组织)在合作社运营中所扮演的角色；研究农民专业合作社外部市场环境与合作社的相互影响关系。其次根据因素分析结果，结合农业技术自身特点，探讨如何在保护知识产权的基础上实现农民合作社与科研机构、农业企业互利双赢发展，设计产品型农民科技综合服务合作社与方法型农民科技合作社的组织建构形式，并详细分析每种形式中合作社各类型成员(各合作方)承担的责任义务关系。最后对建立起来的组织形式进行评价，利用经济学原理分析合作社各合作方都获得了怎样的合作利益，以及组织形式如何为农民生产劳动分散了技术风险、市场风险，结合相关金融知识讨论这样的合作关系如何影响合作社的融资问题。

　　【Abstract】With the development of agricultural economy in our country, the household contract responsibility system cannot meet the requirements of market economy. Promoting the development of agricultural cooperatives is a strategic choice to design socialism agricultural economic system and realize agricultural modernization. Agricultural cooperatives which provided technical information and multi-services will service farmers better, by combining the advantages of advanced technologies with production abilities.

　　In this paper, we analyzed the factors which influenced Agricultural cooperative first, such as relative laws, the role government played during different life periods of agricultural cooperatives, different functions of farmers, research centers and agents, relationships between the agricultural cooperative and market environment. Then, combining the analysis results and the distinctions of agricultural technology, we discussed how to build a win-win situation. In this situation, the revenue of farmers will increase and the intellectual property can get better protections. We designed two systems, one is based on product-technology, and the other is based on method-technology. We discussed each participator’s rights and obligations to describe the two systems in detail. At last, we evaluated the two systems from following aspects: analyzing the revenue each participator got by using economic theory, describing how the system spread the technical risk, market risk and solved the financing problem.
