【摘要】 合作经济是社会主义市场经济不可或缺的一部分,合作经济注重公平等社会价值被人们所推崇,基于对合作经济的肯定,大多数国家制定了合作社方面的法律。我国制定的《农民专业合作社法》已于今年7月实施,这部法律对农民专业合作社的财产权进行了一定的规定,但这些规定还相当粗糙,规定的权利性质还相当模糊,故在这部法律宣传过程中,有关参与立法的专家坦言合作社的财产权问题值得深入研究。笔者同意大多数专家学者的意见,认为合作社成员对投入合作社的出资拥有所有权,但同时笔者运用日耳曼法中的“双重所有权”理论来分析合作社内部的所有权结构及形态。笔者认为,合作社所有权结构由合作社法人所有权与合作社成员所有权构成,而其中的合作社成员所有权是上级所有权即终极所有权,合作社法人所有权即合作社财产权是下级所有权。本文第一章对合作社的基本理论与发展状况进行了简单介绍,以期对理解合作社的财产权法律制度有所裨益。其中国际合作社运动出现的新变化的有关内容,为论述合作社成员所有权即股权(上级所有权或终极所有权)打下了伏笔。第二章对合作社资金来源的分析是进一步分析合作社财产权的前提和基础。第三章是全文的理论重点。笔者在肯定了合作社法人地位的前提下,利用法人财产权等理论阐述了合作社法人财产权及合作社成员所有权的合作社财产权架构,并在历史传承创新的基础上采用日耳曼法中的“双重所有权”理论分析了合作社中各种财产权的性质及彼此之间的关系。第四章,在第三章理论观点的基础上,指出我国法律在合作社财产权规制方面的缺陷,并提出了修改建议。

　　【Abstract】 Legislation on cooperative economy is not only the prerequisite but also the key point to regulate our cooperative economy developing in a healthy way.Starting from analysis on the development status and value of cooperative economy both at home and abroad,the thesis expatiates that China should speed up the legislation on cooperative economy.After analyzing in detail on the existing argumentative focuses on cooperative economy,the author draws a conclusion as following:China’s legislation on cooperative economy should be established in long-range and overall considerations,breaking through interest struggles among different departments.A fundamental law should be made in accordance with the common values and interior principles of cooperative economy.On the basis of the fundamental law,State Council may draw different regulations on specialized cooperative organizations according to their unique features, which may constitute a comparatively perfect cooperative economy law system.
