【摘要】 随着经济快速发展,市场竞争越来越激烈,家庭承包责任制这种分散的小经营、小生产方式与国际国内大市场的矛盾越来越突出,抗御自然风险和市场风险的能力非常脆弱。广大农民为了提高自己在市场中的地位,增强抵抗风险的能力,于是在农村自发形成了各种农民组织,其中最有影响力的就是农民合作经济组织。但对于这一组织的法律地位、性质等存在很大争议,本文旨在从五个方面对农民合作经济组织进行分析。首先是对农民合作经济组织的概述。综述农民合作经济组织的名称、内涵、外延、种类等不同说法;介绍农民合作经济组织的种类;并分析了农民合作经济组织的立法必要性和意义。其次是探讨农民合作经济组织的主体地位确定。由于当前农民合作经济组织法律地位不确定,使得其合法权益得不到保障。在实践需要和借鉴国外观点基础上,我们应赋予农民合作经济组织法人地位,并从法人四特征论证农民合作经济组织具有法人属性,再进一步分析了农民合作经济组织所属法人类型,最后将其与相关的经济组织形式进行区分。再次是对农民合作经济组织立法模式的研究。国外农民合作经济组织发展较具规模,在介绍国外立法模式和我国之前实践基础上,总结出我国现阶段可选择模式。然后是对农民合作经济组织立法相关问题的论述。分析了农民合作经济组织的部门法属性和立法重点,试图允许农民以土地参股;为了降低农民的风险,建立农业保险和农业风险基金;以及对农民合作经济组织的反垄断豁免。最后分析和指出了新颁布的《农民专业合作社法》存在的某些不合理之处和内容上的缺失。
