【摘要】 社会企业是20世纪80年代在英美等国家悄然而起并迅速发展于欧美及亚非拉地区,但社会企业的概念传入我国却是在最近四五年的时间里,一些组织也已经开始关注社会企业实践。本文以四川土门镇民乐村种养专业合作社为个案作为研究对象,深入研究这一类型的社会企业的产生、运转与治理机制并在此基础上解读此类型的社会企业的发展机理。本文主要有以下五个方面的内容组成：第一,绪论,这部分包括三方面的内容,首先介绍本文研究的背景；其次通过文献梳理介绍两部分内容一是社会企业的含义及相关概念,并在此基础上提出合作制社会企业的概念。二是分析社会企业在中国大陆、香港、台湾的发展状况。再次介绍本文的研究方法。第二,这部分详细介绍民乐村合作社的组建过程及其治理结构和。包括社员代表大会、理事会和监事会的产生过程及合作社中特殊人员如村干部和基金会工作人员在其中的主要作用。第三,这部分介绍对合作社下辖的产业公司(民富现代农业有限公司和四川普惠缘生态农业科技有限公司)的组建过程、治理结构、其运转机制及其遇到的挑战进行分析。第四,讨论与思考,从中国扶贫基金会、合作社、职业经理人三方面分析此种类型的社会企业的发展机理及产业公司的扶贫途径。社会企业是一种新事物,它在社会发展方面的作用是显而易见的,但对它的研究尤其实践探索就中国来说太少了,本文以期以民乐村种养专业合作社为例来探索这一类型的社会企业为中国社会企业的研究贡献一点力量。

　　【Abstract】 Social enterprises appear in countries such as UK and USA quietly in 1980s, and developed rapidily in Europe, America and Asia areas. But the concept of Social enterprises was introduced into our country just about four-five years. Some organizations are starting to pay attention to the social enterprise practice. This paper chose the case of cultivation and breeding specialized Cooperatives in MinLe village of Sichuan province to research the production,operation and governce mechanism.This article consist of the following four parts: First, This part is the introduction,and this section includes three sections.the first section introduced the research background. The second section, through literature review introduce the concept and the related concept of social enterprise and analyze the development of social enterprises in China mainland, Hong Kong and Taiwan. The third section, introduced the theoretical and practical significance and research methods of this paper.Second, This part introduced the construction process of cultivation and breeding specialized Cooperatives and its governance structure which include representatives of members meeting, production process of the council and the board of supervisors and the main role of special personnel such as village cadres and foundation staff in the co-operative.Third, This part introduced of company of cultivation and breeding specialized Cooperatives (Minfu modern agriculture Co., LTD and sichuan Puhuiyuan margin of ecological agriculture technology Co., LTD.) including construction of process, the governance structure and operation mechanism and the challenges of industria company and the cooperatives during the operation process. Fourth, This part is discussion and thinking.This part is try toanalyze this type of social development of enterprise mechanism and industrial company poverty way from the China Foundation for Poverty Alleviation, cooperatives, professional manager.Social enterprise is a kind of new things, it playes a obvious role in the social development, however research on it especially practice for China is little. This paper choose cultivation and breeding specialized Cooperatives in MinLe village of Sichuan province as an example to explore this type of social enterprise in order to contribute a little power for Chinese social enterprise research.
